The percentage set forth in this Schedule 13G is calculated based upon an aggregate of 194,505,409 shares of Common Stock outstanding which is the sum of (i) 9,354,076 shares of Common Stock outstanding after giving effect to the offering described in the Issuer's Prospectus filed pursuant to Rule 424(b)(5) with the Securities and Exchange Commission (the "SEC") on August 15, 2024; and (ii) 185,151,333 shares of Common Stock issued by the Issuer on December 24, 2024, as reported in the Issuer's Current Report on Form 8-K filed with the SEC on December 26, 2024, and assumes the exercise of the warrants held by the Highbridge Funds. | |
